buyers and home sellers ("Buyers and Sellers") to obtain information
about Real Estate Agents (collectively referred to as "agents,"
"brokers," or "REALTORS" herein) in their respective geographical
areas. Similarly, we provide a means for Agents to obtain
qualified leads on potential Buyers and Sellers.

III. Truth and Accuracy
In consideration of your use of the Products and Services,
you agree to provide true, accurate, current and complete
(apart from the optional items) information about yourself
as prompted by the Service's registration forms (such information
being the "Registration Data"). If you provide any information
that is untrue, inaccurate, not current or incomplete, or
RightAgent.com has reasonable grounds to suspect that such
information is untrue, inaccurate, not current or incomplete,
RightAgent.com has the right to suspend, terminate and refuse
any and all current or future use of the Products and Services
(or any portion thereof). RightAgent.com strives to ensure
the accuracy and currency of any information provided by this
website, including and not limited to the information provided
by the Agents. However, we do not guarantee the accuracy or
currency of any information. RightAgent.com reserves the right
to verify the accuracy and currency of any information submitted
to this website, by any means, at will.

IV. Conduct
You as a user agree that you will not use RightAgent.com Products
and Services to:

Impersonate any person or entity, including, but not limited
to, a RightAgent.com official or employee.
B. Employ misleading E-mail addresses or falsify
information in the header, footer, return path, or any part
of any communication, including E-mails, transmitted through
that Service.
C. Upload, post, E-mail, or otherwise transmit any
material that contains software viruses, worms, Trojan horses,
time bombs, trap doors or any other computer code, files
or programs or repetitive requests for information designed
to interrupt, destroy or limit the functionality of any
computer software or hardware or telecommunication equipment
or to diminish the quality of, interfere with the performance
of, or impair the functionality of the Products and Services
or RightAgent.com.
D. Use automated means, including spiders, robots,
crawlers, or the like to download data from any RightAgent.com
database.
E. Use automated means, including additional computers,
software and scripts, to enhance play in any RightAgent.com
drawings, games or promotions.
F. Access the Products and Services after your account
or access has been terminated by RightAgent.com.

to safeguarding your privacy online as well as off. Should
you have any questions, comments or concerns regarding our

The following are the guiding principles to which we strictly

including, but not limited to, Agents or Brokers any of
your personally identifiable information except when we
have your explicit permission or under special circumstances,
such as when we believe in good faith that the law requires
it.
B. Information that is provided by all users is collected
and maintained solely by RightAgent.com.
C. RightAgent.com has security measures in place
to attempt to protect against the loss, misuse and alteration
to your personal information under our control. Only authorized
employees have access to the information you provide us.
While we cannot guarantee that loss, misuse or alteration
to data will never occur, we make every effort to prevent
such unfortunate occurrences.
D. You will never be required to provide credit or
financial information to use any of our services.
E. RightAgent.com may use "cookies" to (i) remind
us of who you are and to access your account information
(stored on our computers) in order to deliver to you a better
and more personalized Products and Services, (ii) estimate
our audience size, (iii) track visits and usage to various
links provided by RightAgent.com, (iv) track your progress
and number of entries in some of our promotions and drawings,
and (v) measure certain traffic patterns and visiting patterns
in the aggregate.

VI. Relationship of Parties
You acknowledge and agree that you and RightAgent.com are
independent contractors under these Terms and Conditions,
and nothing herein shall be construed to create a partnership,
joint venture, agency, or employment relationship. Neither
party pursuant to these Terms and Conditions has authority
to enter into agreements of any kind on behalf of the other
and neither party shall be considered the agent of the other.

VII. Buyer/Seller Responsibilities
By completing our Buyer and/or Seller Registration Form, you
certify and agree that:
A.
You are at least eighteen (18) years of age and otherwise
able to enter into a legally binding contract.
B. You are not a real estate agent or broker, or
acting on behalf of an agent or broker.
C. You will never submit any application or registration
form portraying or impersonating another person, entity
or name you are not legally sanctioned to use. Such practices
are considered fraudulent and may subject you to criminal
liability.
D. You are the owner of the property named, as recorded
on the property tax roll, and have the lawful entitlement
for offering it for sale; and/or you are interested in purchasing
property in the United States of America.
E. RightAgent.com reserves the right to deny use
of our service by not providing the names of any agents
to you if we (i) are unable to verify, validate or authenticate
any of the information provided, or (ii) suspect that the
registrar is engaging in or attempting to engage in any
fraudulent or otherwise illegal activity(ies). Furthermore,
you agree that RightAgent.com shall not be liable to you
or any third party for any termination of your access to
the Service.
F. Your purpose in completing the form is solely
to acquire information on real estate agents to represent
you in the sale and/or purchase of a property.
G. You do not have any exclusive contractual agreement,
verbal or otherwise, with any other agent.
H. You will not complete more than one (1) registration
form per desired transaction.
I. You are under no obligation to contact or select
any of the agent's names you are provided with. The agent
profiles are provided for informational purposes only and
should only serve as a guideline to help you select an agent
to represent you.
J. Should you select or contract an agent to represent
you in either the purchase and/or sale of a home and that
agent's name was referred to you through RightAgent.com,
you will promptly notify us via E-mail at BuyerSellerAccounts@RightAgent.com.
You are also required to notify us when (i) you have an
estimated close of escrow date, and (ii) when escrow has
officially closed.
K. You may request information on additional agents
that are represented in the area(s) you are interested in
by contacting BuyerSellerAccounts@RightAgent.com.

VIII. Agent/Broker Responsibilities
By completing our Agent Registration Form, you certify and
agree that:
A.
You are at least eighteen (18) years of age and otherwise
able of entering into a legally binding contract.
B. You are a Real Estate Agent with a valid real
estate license in good standing and have complied with all
real estate licensing and regulatory requirements applicable
to real estate agents in the area(s) for which you have
registered with RightAgent.com.
C. You will not submit more than one (1) Agent Application.
If you have been notified that your application has been
denied, you will not submit another agent application for
a minimum of one (1) calendar year.
D. You will never register or attempt to register
yourself as a Home Seller and/or Buyer under any circumstances
or for any reason including, for personal purposes, to sell
your own home and/or to purchase a home for yourself.
E. You will never submit any application or registration
form portraying or impersonating another person, entity
or name you are not legally sanctioned to use. Such practices
are considered fraudulent and may subject you to criminal
liability.
F. RightAgent.com reserves the right to refuse to
accept the application(s) of any agent for any reason including,
but not limited to, (i) the inability to verify, validate
or authenticate any of the information provided, or (ii)
we suspect that the applicant is engaging in or attempting
to engage in fraudulent or otherwise illegal activity(ies).
G. Upon registering, you will receive a password
and RightAgent.com ID. You are responsible for maintaining
the confidentiality of the password and ID, and are fully
responsible for all activities that occur under your password
or ID. You agree to (a) immediately notify RightAgent.com
of any unauthorized use of your password or account or any
other breach of security, and (b) ensure that you exit from
your account at the end of each session. RightAgent.com
cannot and will not be liable for any loss or damage arising
from your failure to comply with this requirement.
H. If a Buyer and/or Seller informs you that he or
she has registered with RightAgent.com and has subsequently
acquired your name through the use of our service, and said
Buyer/Seller enters into a contract or otherwise enlists
your representation, you are required to immediately notify
us of said agreement via E-mail to: AgentAccounts@RightAgent.com.
You are also required to notify us when (i) you have an
estimated close of escrow date, and (ii) when escrow has
officially closed.
I. You will keep RightAgent.com apprised of any and
all changes to your professional status as it applies to
RightAgent.com including and not limited to your (i) name,
(ii) agency, (iii) license status, (iv) phone numbers, and
(v) personal website link if any.
J. You will not use or attempt to use any information
acquired through RightAgent.com to contact any Buyer and/or
Seller or Agent registered with RightAgent.com in any way.
K. You will not use or attempt to use any information
acquired through RightAgent.com to discover the prices,
fees, commissions or other terms offered by any other Agent
registered with RightAgent.com.
L. If you are not a licensed professional Real Estate
Broker and/or not legally permitted to conduct or participate
in certain real estate transactions acting as an individual
professional, it is your sole responsibility to secure any
required supervising Broker's authorization for participation
and payment of fees accrued through participation and use
of RightAgent.com's services.
M. You are not permitted to assign or otherwise transfer
your registration or affiliation with RightAgent.com to
any individual or entity at any time or for any purpose.
N. You are required to provide, in writing, two (2)
weeks advance notice of the termination of your association
with RightAgent.com for any reason at any time.
O. RightAgent.com reserves the right to terminate
any agent's affiliation for any reason at any time with
or without notice. It is, however, our general practice
to provide notice to those agents with whom we are terminating
affiliation. Prior to termination we may, but are not required
to, employ other remedial measures including but not limited
to warnings and temporary or indefinite suspension.
P. Your affiliation with RightAgent.com will be temporarily
or indefinitely suspended or terminated if you engage in
or are suspected of engaging in any of the following actions:
(i) providing any information that we are unable to verify
or validate, (ii) participation in fraudulent or otherwise
illegal activities of any manner in association with this
website or company, (ii) failure to uphold and practice
the statutes of the Fair Housing Act as set forth by the
Department of Housing and Urban Development (HUD) www.hud.gov/fhe/fhehous.asp,
(iv) breaching these Terms and Conditions by any means.
Q. RightAgent.com shall not be liable to you or any
third party for any termination of your access to the Service.

X. Jurisdictions
This site is controlled and operated by RightAgent.com from
its offices within the County of Riverside in the State of
California, United States of America.RightAgent.com makes no representation that the
services provided by this site are appropriate or available
for use in other locations. Those who choose to access this
site from other locations do so on their own initiative and
are responsible for compliance with local laws, if and to
the extent local laws are applicable. The Terms and Conditions
and the relationship between you and RightAgent.com shall
be governed by the laws of the State of California without
regard to its conflict of law provisions. You and RightAgent.com
agree to submit to the personal and exclusive jurisdiction
of the state or federal courts located within the county of
Riverside, California.

XI. Indemnity and Release
You hereby agree to indemnify RightAgent.com and it's affiliates,
officers, and employees and hold them harmless from any and
all claims and expenses, including attorney's fees, arising
from your use of the RightAgent.com web site, your use of
the Products and Services, or your submission of ideas and/or
related materials to RightAgente.com or from any person's
use of you account or password, regardless of whether such
use is authorized by you. You hereby agree to release RightAgent.com
and it's affiliates, officers, and employees from any and
all claims, demands, debts, obligations, damages (actual or
consequential), costs, and expenses of any kind or nature
whatsoever, whether known or unknown, suspected or unsuspected,
disclosed or undisclosed, that you may have against them arising
out of or in any way related to such disputes and/or to the
Products and Services or to any disputes regarding use of
ideas and/or related materials submitted to RightAgent.com
YOU HEREBY AGREE TO WAIVE ALL LAWS THAT MAY LIMIT THE EFFICACY
OF SUCH RELEASES. FOR EXAMPLE, YOU SPECIFICALLY AGREE TO WAIVE
THE PROVISIONS OF CALIFORNIA CIVIL CODE SECTION 1542, WHICH
PROVIDES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH
THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR
AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM
MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

B. RightAgent.com makes no warranty that (i) the
products and services will meet your requirements, (ii)
the service will be uninterrupted, timely, secure, or error-free,
(iii) the results that may be obtained from the use of the
products or services will be accurate of reliable, and (iv)
the quality of any products, services, information, or other
material acquired by you through the service will meet your
expectations.
C. Any information downloaded or otherwise obtained

and risk and that you will be solely responsible for any

products or services shall create any warranty not expressly

E. RightAgent.com makes NO warranty or guarantee
that (i) Buyers and Sellers are who they say they are, (ii)
Buyers can or will purchase property or select an Agent
through our service, (iii) Sellers can or will sell property
or enter into a listing agreement, (iv) Agents will receive
any amount of referrals, and (v) an Agent can or will sell
a Sellers home or will assist a Buyer in the purchase of
a property

XIII. Limitation of Liability
You expressly understand and agree that RightAgent.com shall
not be liable for any direct, indirect, incidental, special,
consequential or exemplary damages, including but not limited
to, damages for loss of profits, goodwill, use, data or other
intangible losses (even if RightAgent.com has been advised
of the possibility of such damages), resulting from: (i) the
use or the inability to use the products or services, (ii)
the cost of procurement of substitute products or services
resulting from any data, information or services acquired
or messages received or transactions entered into through
or from the service, (iii) unauthorized access to or alteration
of your transmissions or data, (iv) statements or conduct
of any third party on the service, or (v) any other matter
relating to the products and services.

XIV. Exclusions and Limitations

should endeavor to give effect to the parties' intentions
as reflected in the provision, and the other provisions of
the Terms and Conditions remain in full force and effect.

XVI. Limitation of Actions
You agree that regardless of any stature or law to the contrary,
any claim or cause of action arising out of or related to

be filed within one (1) year after such claim or cause of
action arose or forever be barred.

XVII. Arbitration and Forum for Disputes
Any controversy or claim arising out of or relating to these

shall be settled by binding arbitration in accordance with
the commercial arbitration rules of the American Arbitration
Association. Any such controversy or claims shall be arbitrated
on an individual basis, and shall not be consolidated within
any arbitration with any claim or controversy of any other
party. The arbitration shall be conducted in Riverside, California,
and judgement on the arbitration award may be entered into
in any state or federal court in California having jurisdiction
thereof. The state and federal courts of California shall
be the exclusive forum and venue to resolve disputes arising
out of or relating to these Terms and Conditions or any user's
use of the Products or Services.
